GUARDIAN RIGHT MASTER TERMS AGREEMENT
V.01
GUARDIAN RIGHT REGISTRY™ MASTER TERMS AND CONDITIONS AGREEMENT
IMPORTANT LEGAL NOTICE: BY CLICKING "I ACCEPT," PAYING THE $20.00 NETWORK REGISTRATION FEE, AND LOGGING INTO THIS PLATFORM, YOU ARE FORMALLY ENTERING INTO A BINDING, MULTI-PARTY COMMERCIAL COVENANT.
THIS AGREEMENT GOVERNS THE HORIZONTAL UNBUNDLING OF REAL PROPERTY AND BINDING DATA-LEDGER PROTOCOLS. ACCORDINGLY, YOU EXPLICITLY WAIVE ALL RIGHTS TO RESOLVE DISPUTES BEFORE STATE RESIDENTIAL TENANCY TRIBUNALS (QCAT/NCAT/VCAT), AGREEING THAT ALL ENFORCEMENT MATTERS SIT UNDER THE EXCLUSIVE JURISDICTION OF THE SUPREME COURT.
PART A: THE CORE CONTRACTUAL & TRUST MATRIX
1. The Separation of Property Components
1.1 All network participants contractually endorse that the Guardian Right Registry™ framework operates to horizontally unbundle real property into two distinct, standalone tracks:
- Share A — Land (Titleholder Interest): 100% of the legal estate and freehold land title, which remains permanently unencumbered on the state’s Torrens Title register under the sole ownership of the Landholder to capture long-term land-based capital growth.
- Share B — Fixtures (Guardian Right Interest): 100% of the equitable interest in the physical fixtures (the dwelling, structures, and integrated infrastructure), contractually severed from the land, placed into a structured bare trust, and allocated directly to the Guardian via a digital Certificate of Allocation.
2. The 50-Year Proprietary Lease Wrapper & $0.00 Rent Protocol
2.1 Real property occupancy within this ecosystem is formalized exclusively via an external 50-Year Proprietary Lease Deed protected by a registered Form 14 Caveat direct against the state title register.
2.2 Because the Guardian holds 100% of the equitable asset interest in the fixtures under the bare trust, the Proprietary Lease Deed enforces an explicit $0.00 per annum ongoing periodic rent provision.
2.3 The Guardian assumes a strict, non-negotiable Triple-Net Obligation to manage, fully insure, and maintain the structures. The Guardian takes 100% financial and operational responsibility for all structural maintenance, general wear-and-tear repairs, and municipal water consumption outgoings, leaving the Landholder with a pure, zero-overhead asset holding ("a clean hold").
PART B: THE UNIVERSAL AMORTISATION PROTOCOL (THE 10% MATH)
1. The Monthly Ledger Run
1.1 Immediately upon asset registration on the platform, the baseline Capital Improved Value (CIV) summation or independent registered appraisal is locked on the data-ledger and automated asset depreciation automatically commences.
1.2 The Registry data engine algorithmically applies a fixed 10% compounding annual depreciation schedule, calculated dynamically and executed on the 1st day of each month.
1.3 All participants contractually covenant and accept that the asset value deflates predictably over time based on this compounding math model, retaining exactly 34.87% of its initial valuation at Year 10, and trending down toward a precise residual floor value of 0.5154% of its initial valuation at Year 50.
PART C: THE "SECURITY INTEREST LOCK" PROTOCOL (BANK INTERLOCKING)
1. Establishment of Rule 2 Protocols
1.1 Where a Guardian secures commercial leverage or private credit to fund their upfront premium, the lender is designated as a "Registered Secured Party" on the data-ledger.
1.2 Immediately upon designation, the Registry engine applies an absolute Rule 2 Security Interest Lock over the account ledger, completely blocking and rejecting any administrative request by the Guardian to voluntarily trade, assign, or surrender the leasehold interest while the debt facility is active.
2. Institutional Security Interest Lock and Extra-Judicial Foreclosure Protocols
2.1 Event of Default: If a Guardian defaults under their external debt facility, the Secured Party may issue an encrypted Digital Default Notice to the Registry platform backend. Upon receipt, the Registry shall execute an immediate administrative overwrite, revoking the Guardian's platform tokens and transferring universal administrative control over the digital Certificate of Allocation straight to the Secured Party.
2.2 Extra-Judicial Assignment Power: Pursuant to these protocols, the Secured Party possesses the absolute contractual right, acting under an irrevocable Power of Attorney granted by the Guardian, to demand vacant possession within 28 days outside consumer tribunals and execute a Force Secondary Market Assignment to resell the remaining chronological balance of the term on the private registry exchange to a new incoming Guardian to recover outstanding principal.
2.5 Extra-Judicial Lifecycle Reversion Override & Crisis Stay
- Trigger Event: Immediately upon the Registry receiving formal notice of a Guardian's death (where the Guardian has utilized an extended lifecycle option), if an active Institutional Security Interest Lock under sub-clause 2.2 remains in place, the Registry engine shall instantly execute an Extra-Judicial Crisis Lock over the ledger track.
- Suspension of Landholder Reversion: For the strict duration of the 180-day Stay Period mandated under Clause Z of the Tripartite Joinder Agreement, all automated or manual Landholder reversionary ledger entries are contractually suspended and frozen. The property fixtures cannot revert to the Landholder until the expiration or clearance of the Stay Period.
- Depreciation Curve Preservation: During the Stay Period, the automated Monthly Ledger Run under PART B shall continue to calculate the 10% compounding annual depreciation on its fixed chronological schedule. This preserves absolute mathematical valuation transparency and a clear audit trail for the Secured Party’s risk and capital adequacy models.
- Vesting of Emergency Assignment Power: Universal administrative control over the digital Certificate of Allocation and the corresponding Amortised Premium Value track shall instantly vest in the Secured Party’s corporate portal, completely bypassing standard estate administration, probate transmission, or judicial execution processes. The Secured Party may immediately exercise its Force Secondary Market Assignment powers under sub-clause 2.4(2) to liquidate the asset, clear the outstanding debt balance, and remit any residual funds directly to the deceased Guardian's legal personal representative.
PART D: INSTITUTIONAL COMPLIANCE, FIREWALLS, & JURISDICTION
1. The Financial Settlement Firewall
1.1 To maintain total compliance with ASIC, AUSTRAC, and financial services licensing laws, the Registry operates strictly as a passive, non-discretionary record-keeping technology utility and electronic data-ledger.
1.2 The Registry permanently bars any transaction or settlement capital from routing, clearing, or matching through registry bank accounts. 100% of commercial financial exchanges occur completely off-platform via independent external solicitor trust accounts.
2. The Absolute Waiver of State Consumer Tenancy Tribunals
2.1 All network participants—including Landholders, Guardians, Developers, and Wholesale Funders—explicitly covenant and agree that the unbundled property matrix sits entirely outside consumer residential tenancy legislation.
2.2 All parties explicitly waive any right to bring actions, log applications, or raise property sharing disputes before state residential consumer tribunals, including but not limited to:
- The Queensland Civil and Administrative Tribunal (QCAT)
- The New South Wales Civil and Administrative Tribunal (NCAT)
- The Victorian Civil and Administrative Tribunal (VCAT)
2.3 All contract enforcement, trust liquidations, corporate SPV adjustments, or holdover trespass claims sit under the exclusive, binding jurisdiction of the Supreme Court.
